Proposed Amendments to the WAC Constitution

Notice is given of the proposed constitutional amendmens to WAC's constitution for the AGM on the 3rd December

PROPOSED AMENDMENTS TO THE WAC CONSTITUTION

Date - December 3^rd 2008

Special Resolution (needs passing by a majority of people present)

That Clause 24 of the articles of association be amended by the replacing number 10 with 6. The Clause currently reads “Unless otherwise determined in General Meeting the number of members of the Management Committee shall be not less than 10 nor more than 25”

This is proposed by the WAC Management Committee.

Explanatory note:

The intention is not to reduce the number of management committee members but to give WAC a margin of safety. At present if we fell below 10 e.g. people died, WAC would not be allowed to operate, to pay salaries etc.

Constitutional amendments proposed by WAC Management Committee.

A) Two new clauses to be inserted in Section 6

First additional clause (6d)

“Membership of the Company, with the exception of those covered in clause 5, shall be confined to people living in Waterloo (the area bounded by the Thames, Blackfriars Rd and Lambeth Rd) or elsewhere in the London Borough of Lambeth.”

The second amendment will be an additional clause (6e)

“ Membership of WAC shall be for a year”

B) Clause 29 b, as currently described, gives a place on the Committee to “A representative appointed by the unpaid staff taking part in the advice and information service provided by the Company”

The proposed amendment to this clause is

“a representative appointed by the volunteers within WAC”

Explanation: This is proposed as we are looking for representatives to represent all volunteers in the centre, not just from the advice and information services.

Important AGM Date - Wednesday December 3rd

The Waterloo Action Centre AGM will be held at the centre on Wednesday 3rd December.

The meeting is an important event as it has the opportunity to select three new members of the management committee.

The financial accounts for the year 2007_8 will be presented, together with a report on the Centres activities for the year.

This is a chance to come along, find out what's been happening and to get involved. There'll also be refreshments provided and a good chance to socialise with other users of the centre. We also hope to lay on some entertainment!

Please gather from 6:30 for a 7pm start at the centre.

Waterloo Green Trust Come to WAC!

We're delighted to announcce that the Waterloo Green Trust
are moving into offices in the Waterloo Action Centre.

This further increases the use of office space in the centre and means that WGT are now able to work even closer with other
groups like Waterloo Community Development Group, the Great Lakes African Womens network, AWG, and the Bangledeshi
Group all of whom also have offices in the building.

Date for the Diary - October 4th - WAC Party and Music Evening! - Everyone Welcome!

We're delighted to announce a major social event that we're going to be holding at the centre in October.

On October 4th we're going to hold a night of music and entertainment "An Evening with Big Bill Broonzy" featuring Okon Ubanga-Jones as Big Bill.

There'll be free music and a cash bar and refreshments on offer as well - it should be a great evening and we'd love to see you.

We're looking for a new treasurer and fundraiser

Job/role description

We are looking for a new treasurer and lead fundraiser for WAC. The role is a voluntary position, although expenses can be covered if necessary.

The role involves the following:
- overseeing and directing our financial reporting and controls
- ensuring accounts are audited
- co-ordinating our fundraising activities.

The role has supervision responsibility for a paid part time bookeeper who maintains our accounts using quick books.

Our current treasurer is unfortunately returning to Australia in October!

Person specification

Ideally we are looking for someone who has accounting qualifications or who has extensive financial management experience either in the private, public or voluntary sector.

Experience and a successful track record in fundraising is necessary.

It would be an advantage if ther person is a local Waterloo resident, or someone who works for a business in the area, as knowledge of the local community and issues would be helpful.

Liz Conroy leaves Waterloo Action Centre

Liz Conroy no longer works with the Waterloo Action Centre. Prior to her leaving, she oversaw all the services managed directly from the centre including the Older Persons Services and General Advice. Liz also managed our volunteer network. If you have any queries about these services, please call the centre on 020 7261 1404 for assistance.

Cafe Project Update

We've had a great response to our cafe project and are looking forward to taking things forward - 5 organisations put in expressions of interest and we are currently refining our selection criteria. Thanks to all who showed an interest!

Nominations are invited for the places on WAC Management Committee which are elected at the Annual General Meeting. The people elected become legally responsible for Waterloo Action Centre for the year. (WAC is a Registered Charity and a Company Limited by Guarantee.)

The members of the Management Committee shall be elected at each Annual General Meeting of the Company or where appointed in accordance with Article 28 hereof, shall be appointed with effect from the date of each Annual General Meeting of the Company and such elected and appointed members shall hold office from the end of the meeting at which they were elected or appointed.

Members of the Management Committee shall hold office until the end of the Annual General Meeting next following their election, appointment or co-option and shall be eligible for reelection or re-appointment or re-co-option.

Hi there

One of the things that we're aiming to achieve at WAC is to get increased awareness of what we're doing out into the community and to get more opportuntities for involvement. So one of the things we're trying out is this new interactive website. Have a look around and tell us what you think of the site on the new message boards!

Also on the site you can see photo's of some of our recent events, find out more about hall hire, and the services that are provided from the centre.
